Terms of Service

In accessing and implementing the use of the Rehabit Platform the Client accepts and agrees to be
bound by the Terms of Service set out hereunder and which Terms of Service may be subject to
variation from time to time by Rehabit without notice to the Client.
The Client shall ensure that it reviews the Terms of Service from time to time and its continued use
of the Rehabit Platform shall be deemed as its consent to and acceptance of the amended Terms of
Service.

Registration, Duration and use of the Rehabit Platform
- The Client warrants that:
- If it is a natural person it is over the age of 18 (eighteen); and
- If it is a juristic person that these Terms of Service have been consented to by a person
with authority and capacity to do so and further that the Terms of Service have been
circulated to the relevant entities and parties where necessary.

Rehabit does not accept liability for any damages incurred due to the Clients
misrepresentation as set out herein.

In registration for use of the Rehabit Platform the Client shall be required to provide the
following information:
- Name of Client;
- Valid email address;
- Contact number; and
- Physical address.

The Client chooses the above domicilium for the purposes of giving notices and/or serving
legal process in terms of this Terms of Service.

The Client may, at any time and by way of the Rehabit Platform, change its domicilium
address.

The Terms of Service shall commence on such date as the Client may commence use of the
Rehabit Platform or the date of its Registration for use of the Rehabit Platform, whichever
occurs soonest.

Should a Client wish to terminate its account it shall do so by giving written notice to
Rehabit at admin@rehabit.co.za.

Rehabit reserves the right to terminate a Client account for whatsoever reason at
whatsoever junction without prior notice to the Client.

Content and Intellectual Property

The Client is responsible for its use of the Rehabit Platform and for any content that is
uploaded or provided by it, including its legality, accuracy and reliability.

Rehabit does not:
- warrant the accuracy or reliability of content available on the Rehabit Platform;
-
accept any liability incurred due to the Client’s use of content provided by the Rehabit
Platform or by users of the Platform.

Any use or reliance on any content provided by the Rehabit Platform or by the Client or
third party users of the Platform, is at the Client’s own risk.

Rehabit reserves the right to remove, at its sole discretion, any content that violates its
Terms of Service.

Such violations can include, but are not limited to:
- copyright or trademark violations;
- impersonation;
- inappropriate content;
- abusive content;
- unlawful content; or
- any content which Rehabit may so deem necessary

The Client shall retain its rights to any content that it uploads or provides to the Rehabit
Platform.

The Client agrees and warrants that it has the rights to any content that it uploads or
provides to the Rehabit Platform.

The Rehabit Platform and its original, non user generated content, features, design and
functionality are owned by Rehabit Online (Pty) Ltd and are protected by intellectual
property or proprietary laws.

Client accounts

The Client undertakes to provide Rehabit with information that is accurate, complete and
current.

The Client remains responsible for keeping its account safe by creating a strong password,
keeping its account details confidential and not sharing access to its user account with
others.

Rehabit is not liable for any loss or damage from failure to comply with the above.

Limitation of liability

The Client hereby indemnifies Rehabit (including, but not limited to, its directors,
employees, partners or suppliers) against any liability, damages, claims or losses incurred by
it due, whether incurred directly or indirectly, (including, but not limited to, damages for
loss of data or profit, or due to business interruption) arising out of:
- the use or inability to use the Rehabit Platform;
- any conduct or content of any third party on the Rehabit Platform;
- any content obtained from the Rehabit Platform; or
- unauthorised access, use or alteration of the Client’s transmissions or content.

Disclaimer

The Rehabit Platform is provided on an "AS IS" and "AS AVAILABLE" basis and without
warranties of any kind, express or implied.

Rehabit does not guarantee that:

the Rehabit Platform will function uninterrupted, error-free, defect-free, securely, or
be available at any particular time or location;
- it is free of viruses or other harmful components; or
- use of the Rehabit Platform will meet the Client’s requirements.

Subscriptions and refunds

Rehabit operates on a tiered subscription model. Billing cycles are set to either a monthly or
annual basis, depending on the subscription plan selected by the Client.

At the end of each billing cycle the Client’s subscription will renew under the same
conditions, unless cancelled by either party.

If the automatic billing fails, Rehabit will issue an electronic invoice to the Client’s chosen
domicilium address, which invoice shall be payable within 7(seven) days receipt thereof. In
the event that a client fails and/or refuses to make payment of the invoice amount, Rehabit
reserves the right to suspend and/or terminate the Client’s user account until such time as
the invoice amount has been settled.

A free tier is offered to Rehabit Clients at its sole discretion, and Rehabit reserves the right
to modify the limitations on the free tier, or remove the free tier entirely. The Client will
not be billed while on the free tier, or in the event that the free tier is cancelled.

Should the Client cancel its user account or downgrade to a lower tier, the Client may lose
the benefits of the tier which was cancelled or downgraded.

Rehabit may, at our sole discretion, at any time, modify the subscription pricing. This will
become effective at the end of the billing cycle. Rehabit will provide the Client with at least
30 (thirty) days written notice prior to the change to give the Client an opportunity to
terminate its subscription before the change is in effect.

Refund requests may be considered by Rehabit at its sole discretion and are not
guaranteed.

Governing Law
- These Terms of Service are governed by the laws of the Republic of South Africa.
